Orders submitted through the American Wholesale Fireworks website constitute an offer to purchase and become final upon acceptance and processing by American Wholesale Fireworks.

Once an order has been submitted and payment has been processed, the order may not be modified or canceled except as expressly approved in writing by American Wholesale Fireworks.

American Wholesale Fireworks reserves the right to refuse, cancel, or limit any order at its sole discretion.

American Wholesale Fireworks reserves the right to correct pricing errors, typographical errors, product descriptions, inventory inaccuracies, or other mistakes at any time without liability.

American Wholesale Fireworks reserves the right to cancel or refuse any order due to pricing errors, inventory shortages, product discontinuation, supplier issues, regulatory restrictions, or circumstances beyond its reasonable control. In such cases, the purchaser's sole remedy shall be a refund of any amount paid for unavailable products.

Shipping & Delivery

ALL SALES ARE F.O.B. (FREE ON BOARD) CLEVELAND, OHIO.

All merchandise sold by American Wholesale Fireworks is sold F.O.B. Cleveland, Ohio. Title to, possession of, and risk of loss for all products transfer from American Wholesale Fireworks to the purchaser when the merchandise is released from an American Wholesale Fireworks distribution facility in Ohio to the purchaser or to a freight carrier, common carrier, freight broker, freight forwarder, or other transportation provider designated by the purchaser.

The purchaser may either personally pick up merchandise from our Ohio distribution facility or designate a freight carrier or other transportation provider to accept possession and transport the merchandise on the purchaser's behalf. Any carrier accepting possession of the merchandise shall be deemed the purchaser's designated agent for purposes of accepting delivery and transporting the merchandise.

If American Wholesale Fireworks assists the purchaser in arranging freight transportation, such assistance is provided solely as a convenience to the purchaser and shall not modify these F.O.B. terms or transfer title, possession, or risk back to American Wholesale Fireworks.

Once the merchandise has been released to the purchaser or the purchaser's designated carrier, American Wholesale Fireworks has fully satisfied its delivery obligations. From that point forward, the purchaser assumes all responsibility for transportation, possession, storage, handling, compliance with all applicable laws, permits, licensing requirements, risk of loss, theft, damage, delay, confiscation, seizure, and use of the merchandise.

All consumer fireworks are shipped via ground freight carrier unless the purchaser elects to pick up the order directly from our distribution facility.

A responsible adult authorized by the purchaser must be present to accept delivery.

After an order is placed, American Wholesale Fireworks will provide shipping information, including the freight carrier, tracking information (when available), and estimated pickup and delivery dates. Delivery dates are estimates only and are not guaranteed.

The purchaser is responsible for ensuring that the delivery location is accessible for freight delivery and that someone is available to inspect and accept the shipment.

Any additional charges resulting from missed deliveries, re-delivery requests, storage fees, limited-access locations, lift-gate services, appointment deliveries, residential delivery charges, detention charges, or other carrier-imposed fees shall be the responsibility of the purchaser.

American Wholesale Fireworks shall not be liable for shipping delays caused by weather, carrier delays, labor disruptions, governmental actions, supply chain interruptions, or other events beyond its reasonable control occurring after possession has transferred pursuant to these F.O.B. terms.

Inspection & Freight Claims

The purchaser must inspect all shipments before signing the carrier's delivery receipt.

Any visible damage, shortages, missing cartons, or discrepancies must be clearly noted on the carrier's delivery receipt at the time of delivery.

Photographs of damaged products, packaging, pallets, and shipping labels may be required to process a freight claim.

Failure to document shipping damage or shortages at the time of delivery may result in denial of any freight claim.

American Wholesale Fireworks reserves the right to determine whether a claim qualifies for replacement, credit, or other remedy.

Returns, Cancellations & Restocking Fees

Due to the nature of fireworks products, all sales are final.

No returns, exchanges, or refunds will be accepted unless expressly authorized in writing by American Wholesale Fireworks.

Orders that have shipped may not be canceled.

If American Wholesale Fireworks approves a cancellation request prior to shipment, a minimum cancellation and restocking fee of thirty-five percent (35%) of the total order value shall apply.

American Wholesale Fireworks reserves the right to assess additional charges for freight, handling, packaging, administrative costs, special-order products, and other expenses incurred in connection with the order. Total deductions may exceed thirty-five percent (35%) where actual costs incurred are greater.

Any shipment refused by the purchaser for reasons other than documented shipping damage shall be subject to all outbound freight charges, return freight charges, carrier fees, handling costs, and a minimum restocking fee of fifty percent (50%) of the order value. Any refund issued shall be reduced by these amounts.

Approved refunds, if any, will be processed only after all applicable deductions have been calculated.

Purchaser Acknowledgment & Legal Compliance

By purchasing products from American Wholesale Fireworks, the purchaser acknowledges and agrees that:

• The purchaser is at least eighteen (18) years of age and legally authorized to purchase fireworks.
• The purchaser acknowledges that all sales are F.O.B. (Free On Board) Cleveland, Ohio and that title to, possession of, and risk of loss transfer from American Wholesale Fireworks to the purchaser when the merchandise is released from an American Wholesale Fireworks distribution facility in Ohio to the purchaser or to the purchaser's designated freight carrier or transportation provider.
• The purchaser acknowledges that any freight carrier, freight broker, freight forwarder, common carrier, or transportation provider designated by the purchaser is acting solely as the purchaser's agent for purposes of accepting possession and transporting the merchandise.
• The purchaser is solely responsible for determining whether purchased products may legally be possessed, stored, transported, resold, or used in their jurisdiction.
• The purchaser will comply with all applicable federal, state, county, municipal, and local laws, regulations, ordinances, permit requirements, and fire codes.
• The purchaser will obtain all licenses, permits, approvals, inspections, and authorizations required for possession, storage, transportation, resale, or use of fireworks.
• American Wholesale Fireworks does not provide legal advice and makes no representation regarding the legality of any product in any specific jurisdiction.
• The purchaser assumes full responsibility for compliance with all applicable laws and regulations.
• The purchaser understands that violations of applicable laws may result in fines, penalties, confiscation of products, denial of permits, criminal charges, or other legal consequences for which American Wholesale Fireworks bears no responsibility.

Fireworks laws vary significantly between states, counties, municipalities, and local jurisdictions and may change without notice. Purchasers are encouraged to consult their State Fire Marshal's Office and local authorities before purchasing fireworks.

Any third-party resources, industry publications, or regulatory references provided by American Wholesale Fireworks are for informational purposes only. American Wholesale Fireworks does not guarantee the accuracy, completeness, or current status of information provided by third parties.

Warranty Disclaimer

Except as expressly required by applicable law, all products are sold "AS IS" and "AS AVAILABLE."

American Wholesale Fireworks disclaims all express and implied warranties, including but not limited to any implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

Any manufacturer warranty that may apply is solely the responsibility of the manufacturer.

Limitation of Liability

To the fullest extent permitted by law, American Wholesale Fireworks shall not be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages, including but not limited to lost profits, lost revenue, business interruption, loss of business opportunities, property damage, personal injury, or other losses arising from or related to the purchase, possession, transportation, storage, resale, handling, or use of fireworks.

In no event shall the total liability of American Wholesale Fireworks exceed the amount paid by the purchaser for the specific product giving rise to the claim.

Indemnification

The purchaser agrees to indemnify, defend, and hold harmless American Wholesale Fireworks, its owners, officers, directors, employees, agents, affiliates, suppliers, manufacturers, successors, assigns, and shipping carriers from and against any and all claims, demands, liabilities, damages, judgments, fines, penalties, losses, costs, expenses, and attorney fees arising from or related to:

• The purchaser's possession, storage, transportation, resale, handling, or use of products;
• The purchaser's violation of any law, regulation, permit requirement, or ordinance;
• Any injury, death, property damage, or loss allegedly arising from products purchased from American Wholesale Fireworks;
• Any breach of these Terms & Conditions by the purchaser.

Force Majeure

American Wholesale Fireworks shall not be liable for any delay, interruption, or failure to perform resulting from causes beyond its reasonable control, including but not limited to acts of God, weather events, natural disasters, fires, floods, transportation interruptions, carrier delays, labor disputes, governmental actions, regulatory changes, supplier shortages, import restrictions, utility failures, pandemics, or other force majeure events.

Governing Law & Venue

These Terms & Conditions shall be governed by and construed in accordance with the laws of the State of Ohio, without regard to conflict of law principles.

Any dispute arising out of or relating to the purchase of products from American Wholesale Fireworks shall be brought exclusively in the state or federal courts located in Summit County, Ohio.

The purchaser consents to the exclusive jurisdiction and venue of such courts and waives any objection based upon venue or forum non conveniens.
